Vessel Description

The OWNER agrees to charter to the CHARTERER the Azimut 72S, a 72-foot motor yacht, on a bareboat/demise charter basis. The vessel includes all equipment, fixtures, tackle, apparel, furniture, and other property delivered with said vessel.

Nature of Charter

This Agreement constitutes a bareboat charter under U.S. maritime law. The CHARTERER assumes complete possession, command, control, management, and navigation of the Vessel. The OWNER will NOT provide any captain, crew, or operational services. This is NOT a passenger-for-hire charter service.

Charter Period & Location

The charter period, delivery location, and return location will be specified in the executed agreement. The CHARTERER shall conduct a thorough inspection upon delivery and redelivery, documenting the vessel condition.

Charter Fee & Payment

The charter fee includes use of the Azimut 72S and all equipment aboard, hull and P&I insurance maintained by OWNER, pre-charter orientation, and vessel surveys. NOT included: captain/crew fees, fuel, provisions, charterer's insurance, or dockage fees.

Charterer's Obligations

The CHARTERER must: select and hire all captain and crew, pay crew wages directly, provide all fuel and provisions, obtain appropriate insurance (minimum $1,000,000), ensure safe navigation, limit passengers to 12 maximum, keep the Vessel free of liens, and return in same condition as delivered.

Owner's Warranties

The OWNER warrants the Vessel is properly registered, seaworthy, and in good working condition with all required safety equipment. The OWNER shall NOT be present aboard, act as captain/crew, or exercise any control over the Vessel's operation during the charter period.

Liability & Indemnification

The CHARTERER assumes all risk of operating the Vessel and agrees to indemnify, defend, and hold harmless the OWNER from any claims, damages, losses, or expenses arising from the CHARTERER's use of the Vessel or actions of the charterer, guests, captain, or crew.

Cancellation Policy

Cancellation terms vary based on notice period. Weather cancellations by a licensed captain allow postponement or full refund. Mechanical breakdowns entitle the CHARTERER to pro-rated refunds or full refund if repairs cannot be completed within 48 hours.

Early Termination

Either party may terminate for material breach. CHARTERER breaches include: exceeding 12-person limit, operating outside navigational limits, illegal activities, failing to maintain insurance, or operating while intoxicated. If CHARTERER breaches, all fees and deposits are forfeited.

Emergency Procedures

In emergencies, the CHARTERER or captain shall immediately contact the OWNER and U.S. Coast Guard. Required actions are specified for collision, grounding, fire, person overboard, and medical emergencies. The CHARTERER shall NOT enter salvage agreements without OWNER's consent.

Miscellaneous Provisions

This Agreement is governed by U.S. maritime law and Florida law. Venue is Miami-Dade County, Florida. The Agreement may be amended only in writing. Disputes shall first attempt negotiation, then mediation before litigation. Prevailing party recovers attorney's fees.

Acknowledgments

The CHARTERER certifies: at least 25 years of age, experienced in handling vessels of this type, sufficient knowledge of seamanship and navigation, understands this is a bareboat charter, understands OWNER will not provide crew or control, and assumes full legal responsibility as de facto owner.

Critical USCG Regulation

Maximum 12 persons total aboard at any time (including charterer, guests, captain, and crew). Exceeding this limit violates U.S. Coast Guard regulations (46 CFR § 24.10-1(c)) and could result in civil penalties exceeding $60,000, criminal prosecution, vessel seizure, and immediate termination of the charter agreement.
